Türkiye has tightened the rules on share transfers by companies that have been allocated land in organised industrial zones (OSBs), under an amendment to the OSB Implementing Regulation published in the Official Gazette on Friday, 6 November, Ekonomi Politikası, İlkses and Politikam reported.
The regulation was issued by the Ministry of Industry and Technology and took effect on publication, according to İlkses and Ekonomi Politikası. OSBs are state-backed industrial estates where manufacturers are allocated plots on which to build and run facilities within set deadlines.
Ministry approval above 49 percent
Under the new rules, a company that holds a pre-allocation or a final plot allocation in an OSB must get ministry approval for any change in its shareholding that exceeds 49 percent in total, Ekonomi Politikası and İlkses reported. If such a change happens without approval, the allocation can be cancelled. The condition will also be written into pre-allocation and allocation contracts.
Selling company shares to pass on a pre-allocation right without ministry permission will likewise lead to cancellation, both outlets said.
Priority for neighbours and second chances
Businesses that share a boundary with a plot being offered, and that already hold workplace and operating licences and are in production, can be given priority, but only if the plot is put out to tender, the two outlets reported. If several neighbours qualify, none gets priority.
Companies whose allocation was cancelled because their investment deadline expired may apply to get the same plot back before their fee is refunded. With approval from the OSB management and the ministry, the plot can be returned at the current price without a new announcement, but no further time extension will be granted, according to Ekonomi Politikası and İlkses.
Superficies rights and e-signed licences
The amendment also allows a superficies right (üst hakkı, a right to build on and use someone else’s land) to be granted on OSB plots to third parties named by the allocation holder and approved by the OSB board. İlkses and Ekonomi Politikası said this right cannot be transferred, is not registered as separate property and cannot outlast the allocation period.
Workplace opening and operating licences in OSBs must now be signed electronically through the online system, both outlets said.
